Bahrain offers one of the most liberal and streamlined foreign investment environments in the Gulf Cooperation Council (GCC) region. Foreign companies may establish branch offices in Bahrain with 100% foreign ownership across a wide range of commercial and professional activities, subject to obtaining the relevant licences from the Ministry of Industry, Commerce and Tourism (MICT) or the Central Bank of Bahrain (CBB) for regulated financial activities. The Bahrain Economic Development Board (EDB) provides an investment facilitation service to assist foreign investors in navigating the registration and licensing process. A branch office is not a separate legal entity from the parent, and the parent company bears full liability for all activities of the Bahrain branch.
Bahrain imposes no personal income tax, no capital gains tax, and no withholding tax on dividends or branch profits remitted to a foreign parent. Corporate income tax applies only to companies engaged in oil and gas operations at a rate of 46%; all other companies, including branch offices of foreign entities, are exempt from corporate income tax in Bahrain. Bahrain has free trade agreements with the United States, Singapore, and GCC member states, and is a full WTO member, providing its branches with preferential market access to a range of key trading partners.

Parent Liability
A Bahrain branch office is not a separate legal entity, meaning the foreign parent company bears unlimited liability for the activities, debts, and obligations of the Bahrain branch, which is an important consideration in assessing the suitability of a branch versus a subsidiary structure.
Regulatory Approval by Activity
Certain regulated activities in Bahrain, particularly financial services, require prior approval from the Central Bank of Bahrain before a branch can commence operations. The MICT handles licensing for most other commercial and professional activities in Bahrain.
