Cyprus allows foreign companies to register a branch office under the Cyprus Companies Law (Cap. 113) by filing the required documents with the Registrar of Companies within 30 days of establishing a place of business in Cyprus. The filing must include certified copies of the parent company's memorandum and articles of association, a certified list of the parent company's directors, the address of the parent's registered office outside Cyprus, and the name and address of at least one representative in Cyprus who is authorised to accept service of legal documents on behalf of the company. There is no requirement for a local director or local shareholder to be appointed for the Cyprus branch.
A Cyprus branch of a foreign company is subject to Cyprus corporation tax at 12.5% on profits attributable to Cyprus, one of the lowest corporation tax rates in the European Union. Cyprus has an extensive double taxation treaty network covering over 65 countries, including most major trading partners. The Cyprus branch regime is administratively straightforward, cost effective to establish and maintain, and benefits from Cyprus membership of the EU and participation in all relevant EU directives. This combination of low tax rates, treaty access, and EU membership makes Cyprus one of the most widely used European branch and holding company jurisdictions for international groups.
Registrar of Companies Filing
All foreign companies establishing a branch in Cyprus must file with the Registrar of Companies within 30 days of establishing a place of business, submitting certified parent company constitutional documents, director details, and the appointed Cyprus representative's details.
30 Day Registration Deadline
The 30 day deadline for branch registration in Cyprus is strictly applied; failure to register within the required period constitutes an offence under the Cyprus Companies Law and may expose the parent company and its officers to penalties and fines.
12.5% Corporation Tax
A Cyprus branch is subject to Cyprus corporation tax at 12.5% on locally attributable profits, one of the lowest corporation tax rates in the EU, with access to Cyprus's extensive double taxation treaty network to reduce withholding taxes on income flows through Cyprus.
