A foreign company that establishes a place of business in the United Kingdom must register as an overseas company with Companies House within one month of establishing that presence. The registration requires submission of a certified copy of the parent company's constitutional document, a list of directors and their particulars, the address of the parent's registered office, and the name of a person authorised to accept service of legal documents on behalf of the company in the UK. There is no requirement to appoint a UK national director or local shareholder. A UK branch of a foreign company is not a separate legal entity from the parent, and the parent bears full liability for all activities of the UK branch.
A UK branch of a foreign company is subject to UK corporation tax on the profits attributable to the UK branch. The main rate of UK corporation tax is 25% for companies with profits above GBP 250,000, with a small profits rate of 19% for companies with profits not exceeding GBP 50,000 and marginal relief for profits between those thresholds. If the branch employs UK-based staff, it must register with HMRC for employer PAYE obligations and ensure that national insurance contributions are properly accounted for. The branch must also file specified financial information about the parent company at Companies House unless a relevant exemption applies under the Companies Act 2006.
Companies House Registration

HMRC Tax Registration
A UK branch with employees must register with HMRC for employer PAYE obligations and must file annual corporation tax returns with HMRC reporting the taxable profits attributable to the UK branch in accordance with the UK corporation tax rules.

Branch profits attributable to the UK are subject to UK corporation tax at 25% (main rate) or 19% (small profits rate), with marginal relief available for profits between GBP 50,000 and GBP 250,000, aligned with the standard UK corporation tax rates applicable to UK companies.
Accounting Disclosure Requirements
A UK branch must file specified financial information at Companies House each year, including accounts of the parent company, unless an exemption applies under the Companies Act 2006, making a degree of public financial disclosure an inherent feature of the UK branch structure.
