Singapore Branch Office Registration

A foreign company wishing to operate in Singapore can register a branch office with the Accounting and Corporate Regulatory Authority (ACRA) under the Companies Act. The branch office must appoint at least one locally resident authorised representative who is either a Singapore citizen, permanent resident, or Employment Pass holder, and who is responsible for ensuring the branch's compliance with Singapore law. The name of the Singapore branch must be identical to the name of the foreign parent company. Key documents required for registration include certified true copies of the parent company's constitution, a list of its directors, the address of its registered office, and a certified copy of the certificate of incorporation.

A Singapore branch office is treated as a Singapore entity for tax purposes and is subject to Singapore corporate income tax at the headline rate of 17% on all Singapore source income. The branch does not benefit from the same tax incentives available to newly incorporated Singapore companies such as the start-up tax exemption applicable in the first three years of a new company. There is no withholding tax on branch profits remitted to the head office under Singapore law. The branch must file annual returns and financial statements with ACRA. Singapore has over 90 comprehensive double taxation agreements, making it one of the most treaty-connected jurisdictions in the Asia Pacific region.

ACRA Registration

Branch profits attributable to Singapore are subject to Singapore corporate income tax at the headline rate of 17%, with no withholding tax on branch profits remitted to the foreign head office, providing a clean and certain tax profile for Singapore branch operations.

Annual Filing Requirements

The branch is required to file annual returns with ACRA, lodge the parent company's audited financial statements, and maintain accurate accounting records in Singapore in accordance with applicable Singapore statutory and regulatory requirements.
