A foreign company wishing to carry on business in Hong Kong must register with the Companies Registry as an overseas company within one month of establishing a place of business in Hong Kong. The registration requires submission of a certified copy of the parent company's constitutional documents, a list of the parent company's directors, the address of its registered office in the place of incorporation, and the name and address of an authorised representative in Hong Kong authorised to accept service of legal process on behalf of the company. There is no requirement to appoint a local director, local shareholder, or local service agent.

A Hong Kong branch of a foreign company is subject to Hong Kong profits tax at the standard rate of 16.5% on profits arising in or derived from Hong Kong, with the first HKD 2 million of profits taxed at a reduced rate of 8.25%. Hong Kong imposes no capital gains tax, no withholding tax on dividends paid by Hong Kong companies or on branch profits remitted to the head office, and no estate duty. Annual compliance is straightforward: the branch must file an annual return with the Companies Registry and a profits tax return with the Inland Revenue Department. This simple and low tax environment makes Hong Kong branches popular for regional trading and investment activities.
